This User Agreement governs your access to and use of the Simpliance website, mobile applications, software, and related services (collectively, the Services). By accessing or using Simpliance, you agree to be bound by this Agreement.

If you do not agree to these terms, do not use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using Simpliance, you confirm that you are at least 18 years old and have the authority to enter into this Agreement on behalf of yourself or your organization.

Simpliance provides software tools intended to assist with construction safety compliance, documentation, reporting, inspections, and related administrative tasks. Simpliance does not provide legal, regulatory, or safety guarantees. You remain solely responsible for:

You agree to provide accurate and complete information, maintain the confidentiality of your login credentials, and notify us immediately of unauthorized account access. You are responsible for all activity that occurs under your account.

5. Data & Content Ownership

You retain ownership of data you submit to Simpliance. By using the Services, you grant Simpliance a limited license to store, process, and display your data solely for providing the Services. Simpliance may use anonymized or aggregated data for analytics and service improvements.

6. Communications

By creating an account or providing contact information, you consent to receive service- related emails and notifications, and transactional or informational text messages. You may opt out of non-essential communications at any time. Text message opt-out is available by replying STOP.

7. Fees & Payments

Certain features may require payment. All fees are disclosed prior to purchase, are non-refundable unless stated otherwise, and may change with prior notice. Failure to pay may result in suspension or termination of access.

8. Service Availability

Simpliance strives for reliability but does not guarantee uninterrupted service. We may modify or discontinue features, perform maintenance or updates, and temporarily suspend access for technical reasons.

9. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE." Simpliance makes no warranties, express or implied, including but not limited to fitness for a particular purpose, accuracy or completeness of data, or regulatory compliance outcomes.

10. Limitation of Liability

To the fullest extent permitted by law, Simpliance shall not be liable for indirect, incidental, or consequential damages; loss of data, profits, or business operations; or jobsite incidents or regulatory penalties. Total liability shall not exceed the amount paid to Simpliance in the prior 12 months.

11. Indemnification

You agree to indemnify and hold harmless Simpliance, its owners, and affiliates from any claims, damages, or expenses arising from your use of the Services, violation of this Agreement, or inaccurate or unlawful data submission.

12. Termination

You may stop using Simpliance at any time. We may suspend or terminate access if you violate this Agreement or misuse the Services. Upon termination, access to your account may be revoked.

13. Governing Law

This Agreement shall be governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

14. Changes to This Agreement

We may update this Agreement periodically. Continued use of the Services after changes are posted constitutes acceptance of the revised terms.
